Unauthorized Access

You must notify us immediately if you suspect any unauthorised use of your account.

Lawful Use

You agree to use our Services only for lawful purposes and in accordance with these Terms.

Prohibited Activities

You must not: Send spam, phishing emails, or bulk unsolicited commercial messages; Impersonate any person or entity, or falsely represent your affiliation; Attempt to gain unauthorized access to other users' accounts or data; Use automated systems (bots, scrapers) to extract data from the Services; Circumvent, disable, or interfere with security features or rate limits; Reverse engineer, decompile, or attempt to extract source code; Use the Services to transmit viruses, malware, or harmful code; Violate any applicable laws, regulations, or third-party rights; Resell, redistribute, or provide the Services to third parties without authorization; Use the Services for any illegal, harmful, or fraudulent purpose.

Premium Features

Access to premium features requires a paid subscription.

Billing

Subscriptions are billed in advance (e.g., monthly or annually) through our payment providers (e.g., Stripe, PayPal).

Payment Authorization

You authorise us to charge your selected payment method for subscription fees.

Refund Policy

Fees are non-refundable except where required by law.

Free Trials

We may offer free trial periods for new users.

Trial Billing

After the trial, you will be charged unless you cancel before the trial ends.

Cancellation

You can cancel your subscription at any time, and access will continue until the end of the current billing period.

Ownership

All content, code, features, and trademarks of the Services are owned by Orivio or its licensors.

License Grant

You are granted a limited, non-transferable licence to use the Services for your personal or business purposes.

Restrictions

You must not copy, duplicate, modify, distribute, reverse engineer, decompile, or create derivative works based on our Services without our prior written consent.

Ownership of User Content

You retain all ownership rights to content you create, upload, or transmit through the Services, including email drafts, notes, tags, and calendar entries ("User Content").

License to Orivio

By using the Services, you grant Orivio a limited, non-exclusive, royalty-free license to process, store, and transmit your User Content solely to provide and improve the Services.

Content Responsibility

You are solely responsible for: The accuracy and legality of all User Content; All emails sent through or with the assistance of our Services; Ensuring you have the right to share any content you upload or transmit; The consequences of any content you send, including AI-generated content you choose to use.

Prohibited Content

You must not create, send, or store through our Services: Illegal, harmful, threatening, abusive, or defamatory content; Content that infringes intellectual property rights; Malware, viruses, or malicious code; Content intended to harass, intimidate, or harm others; Spam or unsolicited commercial communications.

Right to Remove

We reserve the right to remove any User Content that violates these Terms or applicable law, or to suspend/terminate accounts that repeatedly violate these provisions.

Privacy Policy

Your use of the Services is also governed by our Privacy Policy.

Data Processing Agreement

By using the Services, you acknowledge and agree to how we process personal data as described in the Privacy Policy.

Best Efforts

We strive to provide continuous availability but do not guarantee uninterrupted access.

Maintenance

We may suspend or modify the Services for maintenance, upgrades, or security reasons.

Right to Modify

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time, with or without notice.

No Liability

Orivio shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Beta Features

Some features may be designated as "beta," "experimental," or "preview." These features are provided as-is and may be modified or removed at any time without notice.

As Is Service

The Services are provided "as is" and "as available."

Liability Limitation

To the maximum extent permitted by law, Orivio is not liable for indirect, incidental, or consequential damages, including lost profits, business interruptions, or data loss.

Maximum Liability

Our total liability to you for any claim shall not exceed the total fees paid by you in the past 6 months.

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Orivio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

Covered Claims

Your use or misuse of the Services; Your violation of these Terms; Your violation of any rights of another party; Content you create, send, or transmit through the Services; Any breach of your representations and warranties stated herein.

Survival

This indemnification obligation will survive termination of your account and these Terms.

Termination Rights

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or for any reason at our sole discretion.

User-Initiated Account Deletion

You may delete your account at any time through your account settings or by contacting [email protected].

Effect of Termination

Upon termination or account deletion: Your right to use the Services will cease immediately; You will lose access to all premium features; Any prepaid fees are non-refundable except as required by law.

Data Deletion from Orivio Servers

When you delete your account, all data stored on Orivio servers is immediately deleted from our active databases and cache, including: Cached email data pulled from Google for processing; AI-generated drafts and suggestions stored on our servers; Your account preferences and settings; Any processed data and metadata we created. This data may remain in our backup systems for up to 3 months before being permanently purged. Once deleted, data on Orivio servers cannot be recovered or restored.

Your Google Data Remains Untouched

Important: Your emails, tags/labels (including those created through Orivio), and calendar events all remain in your Google account. Deleting your Orivio account does not delete anything from your Gmail or Google Calendar. Orivio only deletes the cached copies and processed data stored on our own servers.

No Data Export

We do not currently offer a data export feature. Please ensure you have saved any information you wish to retain before deleting your account.

Survival

Sections relating to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination.

Updates

We may update these Terms from time to time. Any changes will be posted on our website with a new effective date. Continued use of the Services after updates means you accept the revised Terms.

Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Informal Resolution

Before initiating any legal proceeding, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We commit to responding within 14 business days.

Notice Requirement

Any legal claims must be preceded by written notice describing the claim and desired resolution, sent to: Orivio Legal Department, Suite RA01, 195-197 Wood Street, London, E17 3NU, Email: [email protected]

Cure Period

We will have 30 days from receipt of notice to cure the alleged breach before you may proceed with formal legal action.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR), rather than in court.

No Class Actions

You agree to resolve disputes with Orivio on an individual basis only, and not as part of any class, consolidated, or representative action.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

Nature of AI Services

Orivio uses artificial intelligence to generate email drafts, suggest tags, provide scheduling recommendations, power live chat AI responses, and generate knowledge base articles. These AI features are designed to assist, not replace, your judgment.

No Accuracy Guarantee

AI-generated suggestions and content are created through machine learning processes that may produce unexpected or incorrect results. You are responsible for reviewing and verifying all AI-generated content before use.

Human Oversight Required

Always review AI-generated email drafts, chat responses, knowledge base articles, meeting suggestions, and automated categorizations before sending or accepting them. Orivio is not responsible for errors, misunderstandings, or consequences arising from AI-generated content.

External Service Dependencies

Orivio relies on third-party services including Google APIs for email and calendar access, Meta Platform APIs for WhatsApp, Messenger, and Instagram messaging, Telegram Bot API for Telegram messaging, Twilio for SMS messaging, OpenAI for AI capabilities, Hetzner Cloud for hosting infrastructure, Stripe for payment processing, and Resend for contact form submissions.

Service Interruptions

If any third-party service becomes unavailable, experiences outages, or changes their terms, certain Orivio features may be limited or unavailable. We cannot guarantee continuous availability of third-party dependent features.

Third-Party Terms

Your use of connected services like Gmail, Google Calendar, WhatsApp, Facebook Messenger, Instagram, Telegram, and Twilio SMS remains subject to their respective terms of service. Orivio is not responsible for changes to third-party service terms or functionality.

Scope of Access

When you connect your Google account, Orivio accesses only the data you explicitly authorize, such as email metadata, email content, and calendar events, solely to provide our services.

Limited Use Compliance

Orivio's use of information received from Google APIs adheres to Google API Services User Data Policy, including the Limited Use requirements. We do not use Google user data for advertising or unrelated purposes.

Data Handling

Google user data is processed only to deliver the features you actively use, such as email organization, draft creation, and calendar management. This data is encrypted and stored securely.

Revoking Access

You can revoke Orivio's access to your Google data at any time through Google account settings or within Orivio's Connected Apps settings. Revocation immediately stops new data access, but does not delete: Tags or labels already applied to your Gmail; Email drafts generated and saved to your Gmail; Meetings or calendar events scheduled through Orivio.

Scope of Access

When you connect WhatsApp Business, Facebook Messenger, or Instagram Direct Messages, Orivio accesses incoming messages sent by your customers, along with basic sender profile information (name, profile picture) provided by Meta's APIs, solely to deliver live chat functionality.

Meta Platform Compliance

Orivio's use of data received from Meta Platform APIs adheres to the Meta Platform Terms and Developer Policies, including all data use restrictions and privacy requirements. We do not use Meta user data for advertising, profiling, or purposes unrelated to providing the Orivio service.

Data Handling

Messages received via WhatsApp, Messenger, and Instagram are encrypted at rest (AES-256-GCM) and processed only to display conversations in your inbox, enable replies, and maintain conversation history. Page access tokens are stored encrypted and never exposed to end users or third parties.

Revoking Access

You can disconnect WhatsApp, Messenger, or Instagram at any time from Settings → Connected Apps. Upon disconnection, Orivio immediately revokes the stored access token and stops receiving new messages. Existing conversation history is retained until you delete your account or request deletion via [email protected].

No Training on Your Data

Orivio does not use your personal emails, calendar events, or other private data to train machine learning models. Your data is processed only to provide services to you specifically.

Aggregated Insights

We may collect anonymized, aggregated usage patterns (such as feature popularity or performance metrics) to improve our services. This data cannot be traced back to individual users.

AI Provider Restrictions

We have agreements with our AI providers (such as OpenAI) that prohibit them from using your data to train their models. Your content is processed only for immediate service delivery.
